These Terms of Use and User Consent (“Terms”) govern your access to and use of the online learning management system and related websites, mobile applications, content and services (collectively, the “LMS”) made available by Bosch India Foundation, a [trust/society/company] established under the laws of India, having its registered office at PO Box No. 3000, Hosur Road, Adugodi, Banglore-560030 (“BIF”, “we”, “us”, “our”).
By (i) clicking “I Agree”, “Accept” or similar button; or (ii) accessing or using the LMS, you (or, where applicable, your parent/legal guardian or your organization) agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the LMS.
1. Definitions
In these Terms, unless the context otherwise requires:
1. “Applicable Law” means all laws, rules, regulations, ordinances, notifications, guidelines, directions and judgments having the force of law in India, including without limitation the Information Technology Act 2000 and rules thereunder and the Digital Personal Data Protection Act 2023 and its rules, as may be amended from time to time.
2. “Child” or “Minor” means an individual who has not completed 18 (eighteen) years of age, in accordance with Applicable Law.
3. “Content” means any text, graphics, images, audio, video, software, assessments, feedback, certificates and other materials displayed, provided or made available on or through the LMS.
4. “Programme(s)” means any skill development, training or related programmes offered, supported, or facilitated by BIF through the LMS.
5. “Trainer” means an individual who delivers or facilitates training or mentoring through the LMS.
6. “Trainee” means an individual enrolled in or using the LMS to participate in any Programme.
7. “User”, “you” or “your” means any person who accesses or uses the LMS in any capacity, including Trainees, Trainers, representatives of partner organizations, and parents/legal guardians of Minors.
8. “User Content” means any content (including text, images, audio, video, submissions, assignments, chat messages, feedback, profile information or other materials) that a User uploads, submits, posts, transmits or otherwise makes available on or through the LMS.
2. Scope and Acceptance of Terms
1. These Terms apply to all Users of the LMS, including without limitation:
o Trainees (including Minors using the LMS under parental/guardian consent);
o Trainers and facilitators;
o Employees or representatives of NGOs, educational institutions and other partners; and
o Parents/legal guardians accessing the LMS on behalf of Minors.
2. If you are an individual who is 18 years of age or above, you confirm that you are competent to contract under Applicable Law and that you accept these Terms on your own behalf.
3. If you are a Minor, you may access and use the LMS only where your parent/legal guardian:
o has lawfully consented to the processing of your personal data and to your use of the LMS; and
o has accepted these Terms on your behalf as the contracting party.
4. If you are accessing or using the LMS on behalf of an organization (such as an NGO, educational institution or employer), you represent that you are authorized to bind such organization to these Terms, and in that case, “you” and “your” shall refer to that organization.
3. Eligibility and Age-Related Conditions
1. General eligibility. Use of the LMS is subject to you meeting the eligibility criteria specified by BIF and/or the relevant Programme guidelines (for example, age band, academic qualification, socio-economic criteria, disability criteria, etc.). BIF may refuse registration or participation if you do not satisfy such criteria or if any information you provide is inaccurate or misleading.
2. Minors (below 18 years).
o The LMS is designed to support Trainees who may be both above and below 18 years of age.
o For a Minor to be enrolled or to use the LMS, BIF requires that a parent or lawful guardian (each a “Guardian”) provides verifiable consent to (i) the Minor’s participation, and (ii) the processing of the Minor’s personal data, as required under Applicable Law.
o All contractual obligations and consents in relation to a Minor’s use of the LMS shall be deemed to be undertaken by the Guardian, and all references to “you” in these Terms, to the extent relating to a Minor, shall be construed to refer to such Guardian.
3. Trainers and other stakeholders. Trainers and other professional Users must satisfy any competency, qualification, affiliation and background checks as may be prescribed by BIF from time to time as a condition to accessing Trainer-level or administrative features of the LMS.
4. Account Registration and Security
1. Account creation. To access certain features of the LMS, you may be required to register and create an account by providing accurate, current and complete information, including (as applicable) your name, contact details, age/date of birth, organization details, and other information requested by BIF.
2. Guardian-assisted registration for Minors.
o For Minors, the Guardian must complete or supervise the registration process and provide their own details (such as name, contact details, identity information) as required for verification and consent.
o BIF may request reasonable documentation or use approved electronic methods (such as one-time passwords, digital identity tools or other mechanisms) to verify the Guardian’s identity and relationship with the Minor in line with Applicable Law and BIF policy.
3. Account credentials. You are responsible for maintaining the confidentiality and security of your login credentials (user ID, password, OTP, etc.) and for all activities that occur under your account. You must immediately notify BIF at [e-mail: boschindiafoundation@in.bosch.com / helpdesk no : +91 9342944874] of any actual or suspected unauthorized use of your account or security breach.
4. Accuracy of information. You agree to keep your registration and profile information accurate, complete and updated at all times. BIF is not responsible for any loss or consequences arising from your failure to provide accurate information.
5. Parental / Guardian Consent for Minors
1. Consent requirement. For every Minor User, the Guardian hereby:
o confirms that they are the lawful parent or guardian of the Minor;
o consents to the Minor’s enrolment in the relevant Programme(s) and use of the LMS; and
o consents to the processing of the Minor’s personal data (including creation of a profile, monitoring of participation and performance, and communication regarding the Programme) in accordance with BIF’s Privacy Notice and Applicable Law.
2. Age verification and documentation. The Guardian acknowledges that BIF may implement age-verification and guardian-verification processes, and may request reasonable documentation or use government-approved electronic systems for such verification in accordance with Applicable Law and BIF policy.
3. Responsibilities of Guardian. The Guardian agrees to:
o review and accept these Terms and the Privacy Notice prior to the Minor’s use of the LMS;
o supervise the Minor’s use of the LMS, including monitoring content accessed and interactions undertaken;
o ensure that the Minor complies with these Terms and with any Programme-specific rules; and
o promptly notify BIF of any concerns relating to the Minor’s safety, privacy or well-being on the LMS.
4. Withdrawal of consent. The Guardian may withdraw consent to further processing of the Minor’s personal data by following the process described in the Privacy Notice; however, such withdrawal may require de-activation or deletion of the Minor’s account and may affect their continued participation in the Programme(s).
6. Use of the LMS and Programmes
1. Permitted use. The LMS is made available solely for the purposes of accessing and participating in Programmes, including viewing learning content, interacting in sessions, completing assessments, receiving feedback, and related educational and skill development activities.
2. Prohibited conduct. You agree NOT to:
o use the LMS for any unlawful purpose or in violation of Applicable Law;
o upload, post or transmit any User Content that is harmful, abusive, harassing, defamatory, obscene, pornographic, discriminatory, hateful, violent, misleading, or otherwise objectionable;
o bully, harass, stalk or threaten any other User or BIF personnel;
o impersonate any person or entity, or falsely state or misrepresent your affiliation;
o upload or transmit any material that infringes any intellectual property, privacy or other rights of any third party;
o upload or transmit any viruses, malware or other malicious code;
o attempt to gain unauthorised access to any systems, accounts, data or networks; or
o interfere with or disrupt the operation or security of the LMS.
3. Programme-specific rules. Certain Programmes may have additional rules (for example, attendance, dress code, safety instructions for practical training, eligibility for certification, or codes of conduct). You must comply with all such additional rules notified to you from time to time.
4. Classroom and blended formats. Where a Programme involves both online and offline components (such as on-the-job training, physical workshops or apprenticeships), you agree to follow the instructions of Trainers and partner institutions, and to strictly adhere to all safety and facility-use guidelines.
7. Assessments, Certification and Outcomes
1. Assessments. Programmes may include quizzes, assignments, projects, tests, or other assessments. You agree that:
o all submitted work shall be your own (or, for Minors, the Guardian shall ensure that the Minor’s submissions are their own), except where collaboration is expressly permitted; and
o you will not engage in cheating, plagiarism, impersonation, or any other academic misconduct.
2. Certification.
o The award of certificates, badges or other recognitions is subject to Programme-specific criteria (such as attendance, successful completion of assessments, and behaviour).
o BIF may withhold or revoke a certificate in the event of academic misconduct, breach of these Terms, or non-fulfilment of Programme requirements.
3. No guarantee of employment. While Programmes may aim to enhance employability and may facilitate placements or linkages with employers, BIF does not guarantee any job, internship, apprenticeship, income or other outcome as a result of participation in any Programme.
8. Intellectual Property
1. BIF Content. All rights, title and interest in and to the LMS, the underlying software, and all Content provided by or on behalf of BIF (including course materials, logos, trademarks and designs) are owned by BIF, Bosch group entities or their licensors, and are protected by Applicable Law.
2. Limited licence to you. Subject to your compliance with these Terms, BIF grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the LMS and Content solely for your personal, non-commercial learning, teaching or related Programme participation.
3. Restrictions. You shall not (and shall not permit anyone else to):
o copy, reproduce, distribute, publicly display, modify, adapt, translate or create derivative works of the LMS or Content, except as expressly allowed by BIF;
o sell, rent, lease, sublicense, or otherwise exploit the LMS or Content for commercial purposes; or
o remove, alter or obscure any copyright, trademark or other proprietary notices.
4. User Content.
o You retain ownership of your User Content.
o By submitting User Content on or through the LMS, you grant BIF and its affiliates a worldwide, royalty-free, non-exclusive, sublicensable licence to use, reproduce, adapt, distribute, display and perform such User Content for the purposes of delivering the LMS, administering Programmes, training Trainers, generating anonymised analytics, and for internal documentation and reporting.
o You represent that you have all rights necessary to grant the above licence, and that your User Content does not infringe any third-party rights or violate Applicable Law.
5. Feedback. If you provide any suggestions, feedback or ideas regarding the LMS or Programmes, you agree that BIF may freely use and incorporate such feedback without obligation to you.
9. Data Protection, Privacy and Communications
1. Personal data processing. BIF will process personal data of Users, including Minors, in connection with registration, Programme administration, Trainer management, monitoring of participation and performance, and operation of the LMS, in accordance with its Privacy Notice and Applicable Law, including the Digital Personal Data Protection Act 2023.
2. Children’s data. For Minors, BIF shall:
o obtain and rely on verifiable consent of the Guardian before processing the Minor’s personal data, except where specific legal exemptions apply;
o avoid tracking, behavioural monitoring or targeted advertising directed at Minors through the LMS; and
o act in the best interests of the Minor when designing and operating the LMS and Programmes, including implementing proportionate access controls and content safeguards.
3. Data minimization and retention. BIF will collect only such personal data as is reasonably necessary for the purposes identified in the Privacy Notice and will retain such personal data only for as long as necessary to fulfil those purposes or as required under Applicable Law.
4. Data principals’ rights. Subject to Applicable Law and the Privacy Notice, Users (and Guardians, on behalf of Minors) may exercise rights such as:
o access to and correction of their personal data;
o withdrawal of consent (prospectively); and
o request for erasure or restriction of processing, by following the procedures described in the Privacy Notice or by contacting BIF at [e-mail: boschindiafoundation@in.bosch.com / helpdesk no: +91 9342944874].
5. Electronic communications. You consent to receive communications from BIF (and/or its authorised partners), including service messages, Programme information, administrative notices, surveys and feedback requests, via email, SMS, in-LMS notifications, messaging applications or phone calls, as appropriate. You may opt-out of non-essential promotional communications by following the instructions in such communications.
10. Third-Party Services and Links
1. The LMS may integrate or interoperate with services, tools or content provided by third parties (e.g., video-conferencing platforms, assessment tools, messaging services, cloud storage, or embedded content).
2. Such third-party services may be governed by their own terms and privacy policies, and BIF is not responsible for, and does not endorse, any third-party services or content. Your use of such third-party services is at your own risk and subject to the applicable third-party terms.
3. BIF is not liable for any loss or damage arising from your use of, or reliance on, any third-party services or content made available through or in connection with the LMS.
11. Disclaimers
1. The LMS and all Content and Programmes are provided on an “as is” and “as available” basis. To the fullest extent permitted by Applicable Law, BIF disclaims all warranties and representations, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or availability of the LMS or Content.
2. Without limiting the foregoing, BIF does not warrant that the LMS will be uninterrupted, timely, secure, error-free or free from viruses or other harmful components, or that any defects will be corrected.
3. BIF does not provide any professional, medical, legal or financial advice through LMS. Any information provided is for educational and skill-development purposes only and should not be relied upon as a substitute for professional advice.
4. BIF shall not be responsible for any User Content or conduct of Users, and you acknowledge that interactions (online or offline) with other Users are at your own risk. BIF expects all Users to behave respectfully and comply with these Terms and Applicable Law.
12. Limitation of Liability
1. To the fullest extent permitted by Applicable Law, in no event shall BIF, its trustees, officers, employees, Trainers, agents, affiliates or partners be liable for any indirect, incidental, consequential, special, punitive or exemplary damages, including loss of profits, data, goodwill or other intangible losses, arising out of or in connection with your use of or inability to use the LMS or Programmes, even if BIF has been advised of the possibility of such damages.
2. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Applicable Law, including liability for death or personal injury directly caused by BIF’s gross negligence or willful misconduct.
13. Indemnity
To the extent permitted by Applicable Law, you agree to indemnify, defend and hold harmless BIF, its trustees, officers, employees, Trainers, agents, affiliates and partners from and against any and all claims, demands, actions, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:
1. your breach of these Terms or of any Programme-specific rules;
2. your violation of Applicable Law; or
3. any infringement or alleged infringement of any third-party rights (including intellectual property or privacy rights) arising from your User Content or your use of the LMS.
Where the User is a Minor, the Guardian shall be responsible for ensuring compliance with this indemnity clause.
14. Suspension and Termination
1. BIF may, at its sole discretion and without prior notice, suspend or terminate your access to the LMS (in whole or in part) and/or any Programme if:
o you breach these Terms or any Programme-specific rules;
o BIF reasonably believes your conduct may harm other Users, BIF personnel or BIF’s reputation;
o required by Applicable Law or by a competent authority; or
o the relevant Programme is discontinued or substantially modified.
2. Upon termination of your access:
o your right to use the LMS will immediately cease;
o BIF may deactivate or delete your account and related information, subject to Applicable Law and its data-retention obligations; and
o certain provisions of these Terms that by their nature should survive (including intellectual property, limitation of liability and indemnity) shall continue to apply.
3. You may request de-activation or deletion of your account at any time by contacting BIF at [e-mail: boschindiafoundation@in.bosch.com / helpdesk no: +91 9342944874], subject to Applicable Law and the Privacy Notice.
15. Changes to LMS and Terms
1. BIF reserves the right to modify, suspend or discontinue any part of the LMS or any Programme at any time, with or without notice, including the introduction of new features or limitations.
2. BIF may update or amend these Terms from time to time. When it does so, BIF will post the updated Terms on the LMS and update the “Effective Date” at the top. For material changes, BIF may also provide an in-LMS notification or email.
3. Your continued use of the LMS after the effective date of updated Terms will constitute your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the LMS and request account de-activation.
16. Governing Law and Dispute Resolution
1. These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-laws principles.
2. Subject to clause 16.3, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms, the LMS or any Programme.
3. Arbitration clause: Any dispute, controversy or claim arising out of or relating to these Terms shall be finally resolved by arbitration in accordance with the Arbitration and Conciliation Act 1996 (as amended). The arbitral tribunal shall consist of a Sole arbitrator appointed in accordance by the parties mutually. The seat and venue of arbitration shall be Bengaluru, Karnataka. The language of the arbitration shall be English.
17. Miscellaneous
1. Entire agreement. These Terms, together with any Programme-specific terms, notices and the Privacy Notice, constitute the entire agreement between you and BIF in relation to the LMS and supersede all prior communications and understandings (whether oral or written) relating to the same subject matter.
2. Severability. If any provision of these Terms is held to be invalid or unenforceable under Applicable Law, such provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
3. No waiver. No failure or delay by BIF in exercising any right under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise of any right preclude any further exercise of that or any other right.
4. Assignment. You may not assign or transfer your rights or obligations under these Terms without BIF’s prior written consent. BIF may assign or transfer its rights or obligations under these Terms to any Bosch group entity or to any successor organization as part of any reorganisation, merger or similar event.
5. Language. These Terms may be made available in multiple languages. In case of any inconsistency between language versions, the English version shall prevail, unless otherwise mandated under Applicable Law.

19. User Acknowledgement and Consent
By clicking “I Agree”, “Accept” or similar button, or by accessing or using the LMS:
1. Adult Users (18+): You confirm that you are at least 18 years of age, competent to contract, and that you have read, understood and agree to be bound by these Terms and the Privacy Notice.
2. Guardians of Minors: You confirm that you are the lawful parent or guardian of the Minor, that you have read and understood these Terms and the Privacy Notice, that you consent to the Minor’s use of the LMS and participation in the Programme(s), and that you consent to the processing of the Minor’s personal data in accordance with Applicable Law.
3. Organisation Representatives: You confirm that you are duly authorised to accept these Terms on behalf of the organisation you represent and to bind such organisation accordingly.
